OUR TERMS OF SERVICE

1. Payment
   By providing IOP with a payment method, you:

(i) warrant that you are authorized to use the payment method provided and that all payment information you provide is true and accurate;

(ii) authorize IOP to charge you for any available services or content purchased using your payment method; and

(iii) authorize IOP to charge you for any paid services you choose to subscribe to or utilize. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed in connection with your transactions.

We can bill you for:

(a) before;

(b) at the time of purchase;

(c) immediately after purchase; or

(d) on a periodic basis for subscriptions.

In addition, we may charge up to the amount you have agreed to and will notify you in advance of any changes in the amount to be charged for recurring subscriptions and/or any new services that are updated. We may bill you concurrently for multiple of your previous billing cycles for previously unprocessed amounts.

2. Recurring Payments

When you purchase our services on a subscription basis, you acknowledge and agree that you authorize recurring payments, and that payments will be made to IOP by the method you have chosen at the recurring intervals you have chosen, until the subscription is canceled by you or IOP. By authorizing recurring payments, you are authorizing IOP to process such payments as electronic debits or funds transfers or as fees to one or more companies of which you are identified as principal with IOP (in the case of payments by credit card or similar).

Subscription fees are typically billed or collected in advance of the respective subscription period. If any payment is returned unpaid or if any credit card or similar transaction is declined, IOP reserves the right to immediately discontinue the service.

IOP may refuse or cancel any order at any time and refund to you any amounts paid by you for the order for legitimate reasons, including but not limited to if you fail to meet the conditions specified at the time of placing the order, if it is unable to process your payment, if the service, digital content or service ordered is unavailable, or in the event of an obvious pricing or other error.

In the event of a pricing or other error, we reserve the right to:

(a) cancel your order or purchase or

(b) contact you with alternative options.

In the event of cancellation, access to any related services will be disabled.

3. Price

The services and/or promotions offered may vary from time to time. IOP does not guarantee that prices, services or promotions offered online will always be available or applied. However, please be assured that if there are any changes to prices, we will notify each customer at least 2 weeks in advance and update the company website to allow you to prepare.

4. Payment confirmation

In the event that no payment is processed via the online platform, we will seek your confirmation and authorization of payment for any services you choose to use via email.

Once we receive your confirmation and approval via email and/or online agreement terms, we may proceed to invoice you in accordance with IOP’s payment terms and policies See Payment section above.

5. Refund Policy
   a. Company Formation

• Customers will receive a full refund of the setup fee, minus payment gateway/bank fees, if the following conditions are met:

(1) The Order has not been requested and processed by any related party;

(2) In the event that you purchase a company formation package but change your mind before the process begins, we will fully refund the amount paid to us, provided you provide us with a written/email request for a refund;

(3) If a force majeure event occurs, we will notify you as soon as possible. If the event lasts longer than 14 days, either party will have the right to cancel the agreement. For services that have been prepaid but not yet provided, you will be refunded in full (net amount) from the date of cancellation.

• Customers will receive a partial refund* of the establishment fee if the following conditions are met:

(1) In case you pay for the incorporation service but change your mind when IOP has started processing your order but has not yet submitted the company registration application to the state registration authority;

(2) We have fulfilled our responsibility when you purchased the establishment service, but the application was directly rejected by the relevant authorities.

• Partial refund includes total cost minus 30% administrative fee and bank/payment gateway fee. Administrative fee includes the following services:

♦ Consulting fee

♦ Review KYC documents

♦ Prepare application

• Customers will not receive a refund if the following conditions are met:

No refunds can be made for the company formation package or any part of the company formation package once the application has been submitted to the competent authority/Registrar.

1. Annual Renewal
   Notices will always be sent at least 15-30 days prior to the renewal expiration date, and you will have the right to cancel the service if the renewal application has not been submitted to the Registry.
2. IOP Bank Account Opening
   reserves the right not to guarantee a 100% success rate when opening your business account as the final decision is subject to bank approval. All we can do is advise, provide banking options that best suit your business and guide you through the preparation of your documents to increase your success rate. Therefore, our banking support fee is non-refundable.
3. Other services

(1) IOP will refund if we are unable to provide the service to you. In the event that the service has been provided and notified to you via email, the refund request will no longer apply.

(2) IOP reserves the right to cancel any service with immediate effect if we consider that there is a clear risk to our business.
